Can you please introduce your self and your background?

Ciro Iamamura – Kodo Assets CEO

Bachelor in Production Engineering and Financial Management and student of Law and Civil Engineering, he has extensive experience in technology and the real estate area of a large real estate developer. With great knowledge in business management, he is an entrepreneur and CEO of Kodo, where he closely follows every decision that takes Kodo towards growth, being a key player in the consolidation of the project.

 

Can you please introduce your Project KODO ASSETS?

Kodo Assets is a platform for real estate tokenization, which was created because we believe that tokenization can solve the main problems of the real estate market.

Our goal is, through tokenization, to democratize investors’ access to the real estate market, help increase the liquidity of this type of asset and reduce barriers to market access, whether due to high transaction costs or bureaucracy.

The tokens will be created and distributed in accordance with Bahamian legislation which, by their nature, classifies them as security tokens. Therefore, as they are considered securities, we are subject to an intense and thorough regulatory process.

Kodo systems are deployed in a cloud-based environment on an event-driven microservices architecture.

The main services are divided into three domain areas: blockchain, KYC & AML and business-related logic. Blockchain services are responsible for handling all interactions with blockchain networks, including reading token information and contract interactions.

KYC and AML services handle identity verification and legal and security measures to ensure that Kodo services are used in compliance with legal requirements.

The other services grouped as Tokenized Assets and Content Services are responsible for delivering content to client applications, managing tokenized assets, and handling the platform-related business logic in general.

 

Can you explain how did you come out with this Project? What problems are you trying to solve?

 Knowing the Brazilian real estate market and knowing the great potential for appreciation and expansion, the founder of KODO saw an unexplored space and decided to unite this great potential in the investment world with blockchain technology. Thus, allowing the Brazilian real estate market to be accessible to anyone anywhere in the world, in a simple and unbureaucratic way, in addition to increasing liquidity and reducing costs.

How do you think blockchain & tokenization can solve the problems which you’ve outlined above?

Real estate tokenization can have interesting advantages, especially when compared to buying a property itself. The first is that once the initial token holder verification (KYC) requirements are met, it is possible for these tokens to be offered and held by an indiscriminate number of people. This would make it possible, for example, that instead of offering stand-alone units, the property would be divided into as many tokens as its square footage and the investor’s minimum price to be exposed to this type of investment would be drastically reduced: at the end of the day, it would be It is possible to buy the equivalent of 1m² of a given property, thus increasing liquidity.

Another advantage concerns the way these token holders receive the proceeds: as the token is an integral part of a smart contract, the net proceeds will be distributed directly to the token holders’ digital wallets, without the need for additional information such as bank accounts. , IRS forms, etc, reducing bureaucracy in real estate investment.

Tokens will have lower transaction costs compared to buying and selling real estate as incidental taxes and property registration costs do not apply in this case. In addition to investing in Kodo Tokens, they are low-risk investments compared to stocks or crypto-assets, as there is a lower entry barrier due to the reduction of the minimum investment ticket compared to the traditional real estate market.

Lastly, as the token market operates 24/7 globally, it is reasonable to expect the liquidity of KODO tokens to be considerably higher than it would be to invest directly in properties.

 

Can you tell us more about your very first Kodo Asset Property? What opportunity is there for public who wish participate in the sale?

The asset to be tokenized is a commercial property located in the financial heart of the city of São Paulo, in the Faria Lima region, more specifically on Rua dos Pinheiros. The total area of ​​the property is 1,144,525m2, with a BOMA area of ​​552.58m2, a private area of ​​473m2 and a common area of ​​671,525m2, according to registration number 141,264, registered in the 10th Real Estate Registry of São Paulo.

The property is currently leased by a large multinational in the healthcare sector, and the aforementioned contract expires on June 14, 2025, subject to renewal. The lease is adjusted annually by the IGP-M (traditional correction rate used in Brazil)

The main income you can expect to get from the property is rent. As already mentioned, there is a lease agreement signed with a multinational company, which will expire in June 2025, whose current value before taxes, net of condominium and IPTU, is US$ 19,979.8414.

The resulting value after discounts (VRD) will be distributed as dividends to Kodo Limited, which is the issuer of tokens representing rights inherent to the property.

Finally, Kodo Limited will be responsible for distributing such funds to token holders in their own wallets, in proportion to their share in the venture, directly through USDC.

 

How do you ensure investors are protected when they participate in your Project i.e Token Sale of the property?

As previously pointed out above, the issuer of the token is Kodo, a company incorporated in the Bahamas. This offer is regulated by the competent governmental body of the jurisdiction of the Bahamas

In addition, whoever holds a token has access to all information regarding it stored on the blockchain and available for consultation if necessary.

Even if the asset is resold hundreds of times, it is possible to do a complete tracking of each transaction and find the current owner without much difficulty. This feature brings transparency and reliability to transactions.

The offer may also be restricted in accordance with the AML (Anty Money Laundering) verification process of each user’s source wallet.

 

Is there any clear jurisdiction of your Project token when it comes to Real Estate Tokenization? Many countries or SEC may recognise this as security tokens, is this the case for Kodo Asset and how do you go about regulations?

As mentioned above, KODO is incorporated under the laws of the Bahamas, with a certificate of incorporation in the country.

The tokens will be created and distributed in accordance with Bahamian legislation which, by their nature, classifies them as security tokens. Therefore, as they are considered securities, we are subject to an intense and thorough regulatory process.

 

What is your expansion plan? Do you plan to expand your offerings abroad? 

The first property will be launched as a way of measuring the temperature of the market and the acceptance of the business model, but KODO already has another 10 properties in Brazil to be tokenized.

There is also interest in tokenizing other Brazilian assets, in addition to possible assets abroad. However, everything will be done with a lot of study and caution.

 

Are you considering or exploring future partnerships be it with other property developers or blockchain solutions?

KODO has several partnerships around the world, in order to bring information and knowledge about the business model, about the Brazilian market and about the possibilities that blockchain technology offers. In addition to always being open to new partnerships that are beneficial for investors and for the company’s growth.

Tell us more about your token sale? How are you going about your token sale? 

KODO is in the launch phase, both for the first property and for the platform on which this and all other tokens will be listed.
