暗号資産を「金融商品」として位置づけ、金商法の枠組みで規制を検討 類型ごとの規制、インサイダー取引禁止など証券的ルール導入も視野に 投資家保護強化と長期的な市場育成、税制改革を含めた制度整備が進行中 金融庁は4月10日、ビットコインなど暗号資産（仮想通貨）規制の在り方についてのディスカッション・ペーパーを公表した。暗号資産を投機的な対象から投資資産として本格的に位置づけ、金融商品取引法（金商法）上の「金融商品」として扱う方向性が盛り込まれている。 この方針は、暗号資産市場の成長と、それに伴うトラブルの多発を受けたものであり、より強力な投資家保護と市場健全化を狙った動きとされる。実際、金融庁には月平均300件超の相談や苦情が寄せられているとされ、2022年のFTX破綻では日本のユーザー資産が海外で危機に晒される事態も発生した。 こうしたリスクを背景に、投資家の間では信頼性の高い情報やプロジェクトを見極める重要性が一層認識されるようになっており、たとえばICOBench日本語サイトを活用することで、資金調達額やプロジェクトの実現性、技術的優位性を調査。有望なトークンを見極めることに努めている。 こうした過去の教訓や継続した暗号資産への関心を踏まえ、国内投資家が安心して暗号資産を取引できる環境の整備は早急に取り組むべき課題となっている。 2類型による規制の提案 ディスカッション・ペーパーの中核は、暗号資産を2つの類型に分類し、それぞれに応じた規制を適用するという提案だ。 類型1は資金調達や事業活動を目的とするトークン（ICOなど）で、金商法による開示規制や投資勧誘規制の導入が検討されている。発行主体の意図や資金の流れが不透明なトークンが多く、投資家保護の観点からも一定の法的枠組みが必要とされている。 一方、類型2はビットコインやイーサリアムのように資金調達を目的としない暗号資産で、分散型の特性を持つものが多い。既存の証券規制では対応しきれない側面があるため、これらには柔軟な規制対応が求められる。 金融庁は今回のディスカッション・ペーパーで、インサイダー取引禁止や無登録勧誘の取り締まりといった、暗号資産に対する証券的規制の導入も視野に入れており、自主規制団体JVCEAのガイドラインでカバーされていた内容を法令化することで、実効性を高めたい考えだ。 制度改革の経緯 制度見直しの背景には、暗号資産の国内市場の急拡大もある。登録業者による預かり資産は5兆円を超え、口座数も1,200万以上に到達。日本国内ではすでに個人投資家の7%以上が暗号資産を保有しているともされ、この数字はFXや社債の保有率を上回っている状況だ。 2024年12月には、政府・与党が税制改正大綱において、暗号資産を資産形成に資する金融商品として扱うことを明記。これを受け、金融庁は非公開の有識者会議を通じて制度検討を開始した。…
